  1. INTRODUCTION

 

Stigue is a recruitment Website that brings together Employers and Recruiters. Stigue provides Employers with access to multiple Recruiters based on their field and these Recruiters with easy access to multiple assignments related to their specialty.
These Terms and Conditions of Sale and Use (hereinafter the « TCSU ») apply to  stigue.com  and its Registered Users. They describe terms and conditions that govern your use of and participation in Stigue services. By the simple use of the Website, you signify that you have read, understood, and agree to be bound by these terms

 

  1. DEFINITIONS

 

In addition to the terms defined elsewhere in the TCSU, the terms set forth in in this Article 2 shall have the following meaning :

“Candidate” means any natural person who has been recommended by a Recruiter to an Employer both of which are registered on the Website;

“Coin” means the virtual money used on the Website, allowing the Employers to participate in a Mission. The number of Coin allocated to each Recruiter each month depends of the monthly subscription chose by the Recruiter. Each Coin owned by a Recruiter allows such Recruiter to participate in one Mission (i.e. presenting different Candidates to the Employer regarding a Job Offer posted by the Employer on the Website);

“Commission Fee” has the meaning assigned to it in Article 5.1 Commission Fee;

“Employment Contract” means the employment contract entered into between an Employer and a Candidate following the completion by a Recruiter of a Mission posted by the concerned Employer on the Website;

“Employer” means any natural or legal person, registered on the Website, who publishes a Job Offer on the Website and whom is open to receiving potential Candidate suggestions from the Recruiters;

“Hired Candidate” means a Candidate, proposed by a Recruiter, following the posting by such Employer of a Job Offer on the Website;

“Identification Codes” has the missing assigned to it in Article 11;

“Job Offer” means any job opening published by an Employer on the Website;

“Mission” means the fact by a Recruiter to agree to work on Job Offer posted on the Website by an Employer by presenting adequate Candidates to him;

“Stigue” means a French simplified joint stock company (société par actions simplifiée) with a share capital of 1.050,00€, whose registered office is located at 6, Rue Sainte Opportune, 75001 Paris, France, and registered with the Paris Trade and Company Register under number 914 088 778, duly represented by its CEO, Mr. Guillaume Beregi;

“Recruiter” means any natural or legal person registered on the Website, who is a recruitment professional and who has the intention of presenting potential Candidate to Employers on the Job Offers published by such Employers on the Website;

“Subscription” means the monthly subscription fee established paid by each Recruiter to Stigue for its use of the Services;

“Registered User” means any natural or legal person, Recruiter or Employer, using the Services;

“Services” means the services of connecting and monitoring recruitment assignments proposed by Stigue to Employers and Recruiters, such Services being more fully detailed hereunder in Article 6;

“Trial Period” means the period during which the Recruiter undertakes to make its best efforts to replace an Hired Candidate in case of any breach of the employment contract by the Candidate. The Trial Period begins on the first working day, as such date is defined in the employment contract. The Trial Period’s duration is defined in more details hereunder in Article 5.1 Commission Fee;

“Website” means any site accessible on the stigue.com domain, whose infrastructure has been developed by Stigue according to computer formats that can be used on the Internet, including data of various kinds and in particular text, sound, fixed or animated images, videos and databases, intended to be consulted by the Registered User, and which provides access to the Services.

 

 

3. PURPOSE AND SERVICES

 

This Article presents the scope of Services offered by Stigue.

 

3.1. Connecting Employers and Recruiters

 

Stigue offers an online Website that connects Employers who are in need of new talents and Recruiters, such as headhunters or recruitment companies, whose mission is to identify potential Candidates who will match with the Employer’s need.

 

3.2. Tchat Service

 

Stigue provides Registered Users with a Tchat Service allowing Recruiters and Employers to exchange through the Website via the Tchat Services. Therefore, both parties can easily and safely discuss different topics in connection with the recruitment process regarding the selected Mission.
Employers and Recruiters shall only use the Tchat Service for business purposes.

Stigue, as the receiver of the information collected through the Tchat Service is allowed to control the use of the Tchat Service and the messages which are exchanged on the Tchat Service between the Registered Users. Stigue is responsible of controlling these messages in order to prevent and protect from any harmful and unlawful acts which may arise from the conduct of any Recruiter or Employer, as well as to ensure the safety of the network and computer systems used by Stigue for the operation of the Website.

Registered Users shall not use the Tchat Service:

− For a purpose not related to any Mission posted on the Website;
− To share their personal information such as phone number, email address, LinkedIn accounts [in particular for canvassing purposes];
− To defame or denigrate any natural or legal person, including any other Registered User;
− To create, transfer or communicate any defamatory, racist, offensive, discriminatory, pornographic, illegal, content or information, including any content or information that may be infringing on the rights of any person.
− To send content or information which contain informatics viruses, harmful codes, or data designed to interrupt, damage, destroy or limit the functionality of any software, hardware or computer or communications equipment used by Stigue;
− To transfer content or information that may damage or interfere the Services provided by Stigue Services to other Registered User, Providers or any Facilities or exposes us to liability; and
− To send messages with the intention to harm the purpose of Stigue Services.

 

4. FUNCTIONING OF THE Website

 

4.1. Job Offer

 

Employers shall post on the Website a complete and accurate job description with all the important information, including but not limited to:
− Job’s title;
− Job’s responsibilities;
− Company’s values and culture;
− Qualifications and skill requirements;
− Location of the position; and
− Salary range.


The Job Offer must not contain any harmful defamatory, racist, offensive, discriminatory, pornographic and/or illegal information or any information that may be infringing on any other person’s rights. The Job Offer must be in accordance with local employment law.


The Job Publication must not contain any harmful defamatory, racist, offensive, discriminatory, pornographic, illegal in breach of the rights of any person. The Job Publication must be in accordance with local employment law.

 

4.2. Process of using the Website

 

For Employers:
- Employer posts his Job Publication requirement for free, with heavy details and information
- Through a data matching system, the Job Publication appears to the right recruiters
- Different Recruiters can accept the mission
- Recruiters suggest potential candidates via the Website only
- Employers and Recruiters are allowed to interact directly through the Tchat Service and book meetings
- Employers have access to a dashboard to summarize all the different process
- Employers have to update their dashboard to keep the Recruiters informed about the recruitment process
- The Website handles the contracts established between the parties and the payments.
- Employers only pay the Commission Fee for the recruitment of the Candidates

For Recruiters:

- Recruiters can access different Job Publication ranked based on their expertise area
- Recruiters have access to Missions with their Coins.
- Recruiters have detailed formations on Job Publication and Employers.
- Recruiters shall submit qualified potential candidates to the employers via the Website only
- Recruiters will only propose seen Candidate via virtual meeting or physically to the Employers.
- Employers and Recruiters are allowed to interact directly though the Tchat Service and book meetings
- Recruiters have access to a dashboard to summarize all the different process
- Recruiters are informed in real-time of the recruitment process of their mission through the Website
- The Website handles the contracts established between the parties and the payments explain in detail in article 5.
- The Recruiters cannot contact the Employers outside the Website for the same Missions unless asked by the Employers on the Tchat.

 

5. Price of the Services

 

5.1. Commission fee

 

The Commission Fee is calculated by the Website based on the salary range given by the Employer in the Job Publication. Nevertheless, if the annual gross salary agreed between the Employers and the recruited Candidate is more than 10% higher than the high range of the remuneration indicated on the Job Publication, or more than 10% lower than the low range of the annual gross salary indicated on the Job Publication, Stigue reserves the right to adjust the premium invoiced to the Employers according to the actual remuneration of the recruited Candidate and concomitantly. The annual gross salary does not include the bonus unless notified.


More details about the Service fee:

- 12 to 14% of the average annual gross salary: 1 month Trial period
- 15 to 19% of the average annual gross salary: 3 months Trial period
- 20 to 25% of the average annual gross salary: 6 months Trial period

Employers shall have the responsibility for paying via the Website the Commission Fee to the Recruiters responsible for the hiring of a candidate.
Therefore, 20% of the Commission Fee is retained by Stigue.

The Commission fee shall be paid the day of the agreement and signature of the Employment Contract between the Candidate presented by the Recruiter and the Employer.
Upon the payment of the Commission Fee by the Employers, Stigue will redistribute 80 % of the commission to the Recruiters within a maximum of three working days.

 

 

5.2. Invoicing and Payment Terms

 

  1. An invoice for the Commission fee shall be issued by Stigue on the day the Employment Contract is signed by the Candidate.

 

   2. The payment of this invoice shall be made in full on the first day that the candidate starts working for the employer, as         indicated in the employment contract.

 

     3.Upon receipt of the full payment of the Commission Fee by Stigue, Stigue shall redistribute 80% of the commission to         the Recruiters within a maximum of three working days.

 

 

5.3. Additional Financial Conditions

 

The Employers can publish a Job Publication for free, and shall pay the Commission Fee only when there is a recruitment of a Candidates presented by one of the Recruiters. For the Recruiters, the Commission Fee and terms are indicated in the Job Publication . To subscribe, the Recruiter chooses to participate in a Job Publication through a Coin.
Once the Job Publication posted, The employers should indicate the hiring of the Website by selecting “hired” in the application tracking system present on the website.
It is understood that the Employers undertakes to provide the Company with a copy of the promise to hire or the signed employment contract, upon first request.

Stigue shall issue the invoice to the Employer for the Commission Fee due to the Company with the total and a deadline. The invoice will be issue after the signing of the employment contract by the recruited Candidate. The invoice will be due upon receipt. The invoice will include the applicable VAT. If there is a late payment of the Commission Fee beyond the deadline determined in the invoice, an interest rate of 10% per month of delay will be automatically added to the amount of the Commission Fee, The Employer will be then required to pay the total amounts owed.

Stigue may not be held responsible for the payment of the Commission fee if there is a lack of payment by the Employer. However, Stigue shall send a formal notice after the deadline indicated in the invoice. If the Candidates presented by the Recruiter, leaves the company of the Employer or is fired by the Employer, during the Trial Period, there is no refund of the Commission Fee paid. However, the Recruiters is committed to present other potential Candidates for the same Job Publication.

 

5.4. Subscription

 

Recruiters can register on the Website for a free trial version of the Service.
After the free trial version:

4 Coins = 4 Simultaneous missions

3 Registered Users
15 Coins = 15 Simultaneous missions
249€ / month

The subscription chosen by a Recruiter should be paid on a monthly basis and will be renewed tacitly. The Recruiters are able to cancel their subscription at any time. However, no refund of the monthly subscription title will be given by Stigue to the Recruiter in case of cancellation of its subscription in the course of the month. In this case, the subscription will terminate at the end of the month during which it was terminated.

 

6. RESPONSIBILITY

 

Stigue shall take all appropriate measures to ensure that the services are provided in optimal conditions. However, Stigue shall not be held liable for the content of the Job Publication, or any failure to perform or improper performance of all or part of the services provided for in the contract, with is attributable either to the Recruiter or Employer, or to the unforeseeable and insurmountable act of a third party outside the contract, or the case of force majeure.  More generally, Stigue excludes categorically all responsibility concerning any intangible damage of any kind whatsoever.
Stigue to the fullest extent permitted by law, Stigue shall have no liability arising from this agreement for lost profits or business opportunities, reputation, loss of data, or loss of business.

 

7. ACCEPTANCE OF THE AGREEMENT

 

By accessing and using Stigue Services through the Website, the Registered User signifies that it has read, understood, and agreed to be bound by the terms of the TCSU. If the Registered User do not accept and agree to be bound by all of the terms of this TCSU, such Registered User shall not be entitled to use Sigue Services. This TCSU shall govern the relationship between Stigue and the Registered User for the duration of the Services offered by Stigue to such Registered User. If a Registered User wishes to terminate the agreement that it has entered with Stigue, such Registered User may do so at any time by closing its account and terminating all use of the Stigue Services.

 

8. CHANGES TO THE TERMS

 

Stigue involves the features and functionality related to the site, the application and the services to ensure their operation and quality. Stigue reserves the right, at its sole discretion, to change, modify, add or remove any portion of these terms and conditions of use and sale at any time. Changes in these terms will be electronically notified to any Registered User. The use by a Registered User of the Website following the posting of any updates or changes to this TCSU shall mean that such Registered User as acknowledged, agreed and accepted such changes. The TCSU that apply at the time the Employment Contract is entered into between the Employer and the Hired Candidate are those that were presented on the Website at the time the Job Offer was posted on the Website by the Employer

 

9. ACCESS CONDITIONS


Stigue is accessible and can only be used by Registered User on the site. To register on Stigue and access the Website, Registered Users must meet the following cumulative conditions:

- The Recruiter must be a professional in the recruitment industry and not subject to any prohibitions or restrictions
- The Registered Users has to be a registered moral entity recognized by a state.
- The Registered User guarantee that any information given for the registration and identification are correct and accurate Stigue reserves the right to accept or refuse if the person does not meet these conditions.

 

10. TERMINATION OF ACCOUNTS

 

Employers may terminate their account on the Website without notice or any justification at any time by closing their accounts through their profile on the Website. Stigue reserve the right to require the consent of all owners to terminate a joint account. Stigue is not responsible for payment of any check, draft, withdrawal, transaction, or other item after your account is terminated
Stigue may terminate your account at any time without notice to Recruiters or Employers or may require you to close your account and apply for a new account with a simple email or notifications if:

- There is a non-respect of the Terms of use
- There has been a forgery or fraud reported or committed involving your account
- There is a dispute as to the ownership of the account
- There has been any misrepresentation or any other abuse of any of your accounts
- Stigue reasonably deems it necessary to prevent a loss to us

 

11. CONFIDENTIALITY AND USE OF INFORMATIONS

 

When registering on the Website, the user creates an account and determines a connection identifier (corresponding to his e-mail address) and an associated password. These Identification Codes are personal, confidential and non-transferable.
The Registered Users shall keep his Identification Codes secret and not to disclose them in any form whatsoever. If the Registered Users’ Identification Codes are lost or disclosed, the Registered Users shall immediately inform Stigue, which will then proceed to cancel and update these Codes immediately. Except in the event of a security failure attributable to Stigue or force majeure, the Registered Users is fully responsible for the use made of the Identification Codes.

 

12. GENERAL DATA PROTECTION REGULATION

13. GOVERNING LAW AND CHOICE OF JURIDICTION

 

This agreement shall be deemed to be a contract made under the French law. This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non contractual disputes or claims) shall be governed by and construed in accordance with the French Law Registered Users of Stigue hereby consent to personal jurisdiction before all courts, and hereby acknowledge and agree that to be the most proper forum to bring a complaint before a court of law.
